I amy be digging too deep into seo, where is this best place a sitemap should sit or does it not matter?

    mydomain.com/sitemap.htmp

    or

    mydomain.com/sitemap/sitemap.html

Also should a html site map br organised by header tags H1 -> H6?

    Is there a formal structure?

    Anyone got a useful link?

    Thanks

In the root directory, so say if your pages are like
    /index.html
    /page1.html
    /page2.html
Then your sitemap should sit at----
    /sitemap.xml

if a site map link were shown on a site, does it matter where the link is located on the page as in header, side , footer?

it is advisable to put sitemap at root of the web, once your site map exceed 100 links create new page and put other links over there.

I believe that most SE seek your sitemap in the root folder (htdocs or public_html). You should place it there.

Ok, more useless replies to the OP, this is getting out of hand on digitalpoint.

The sitemap must reside in the "top-level directory" of the URLs\Pages included in that sitemap. Usually your top--level directory where your HTML files go is fine. However, do not use HTML sitemaps, use XML sitemaps. XML sitemaps are the current accepted standard by all major search engines. Below is a link to my stickied Sitemap FAQ on DP.

Yes, the HTML sitemap is for humans, the XML is for robots. Please review my Sitemap FAQ posted above, it will explain everything.

You can try an xml sitemap generator like http://www.xml-sitemaps.com/ (i think it also gives you an html version too). Put it in your root directory. Visit google webmaster tools if you're submitting directly, there's more directions there if need clarification...
