If you want to do it right, the first thing you need to agree upon is where any dispute will be heard in court, as the laws are going to be different in your respective countries. Then agree in principal on the terms and hire your own attorney where you have agreed any dispute is going to be heard in court to review it - anything else is really going to done on trust and these sort of deals often turn out bad. In most partnerships, at least one side will think they are doing the majority of work and that is when things can get ugly. Without a properly drafted agreement, and both living in different countries, you will probably have limited options on what you can do and should enter into this type of arrangement expecting to have problems. I personally wouldn't enter into a partnership with someone I didn't know and certainly not one that lived in a different country. Even if you prevailed in court, collecting a judgment can be next to impossible.
