What are the top ten reasons Microsoft want Yahoo?

I have been pondering Microsofts present offer of 31$ a share for Yahoo and wonder what others think are the top ten reasons Microsoft want to buy Yahoo?

And if you can't come up with ten "The Top Five Reasons Microsoft want Yahoo" will do!

Or "The #1 (Number One) Reason Microsoft want to buy Yahoo"?

What are your thoughts on this matter?

Reason #1 -- Live Sucks and They need something to make it better. So, naturally, they try to spend billions on Yahoo.

#1 Because Microsoft lacks the skill to improve their own search engine.
#2 Because Microsoft is used to being a monopoly and consuming companies is what they do.
#3 Yahoo just layed off 1000 employees. It's a good time to lowball a wounded company.
#4 Microsoft likes to eliminate consumer choice, and absorbing Yahoo would allow them to reduce the search market to Google and Microsoft.
#5 To make money at any cost.

I came up with a brilliant idea for search engines.

The Search Engine Game aka "More than a Million"

It would have people/teams using search engines on a TV show to compete to find answers to questions to win prizes/money.

I wonder if Microsoft with Yahoo would dare to allow the game or more to allow any of their search engines to openly compete against Google on a TV show.

Brilliant answers above btw I figured Microsoft are trying to compete against Google but surely the best way to do that would have been to set up a decent search engine with the best real natural/organic search engine results and not buy Yahoo that has already lost a lot of searchers to Google in the past few years already.

As it seems pretty obvious from comments that can be read in many places that people like Google for its happy balance of good Natural/organic serps and clearly defined paid ads.

Anyone else any thoughts on the matter?
