Quite alot of things to consider,

    - Brandable Domain
    - Good Design
    - Experienced programmer(s) to build the system
    - Something to reduce click fraud
    - Good amount of money to actual advertise your company
    - Money to pay employees
    - Choosing best suitable payment gateways

There is most probably many other things to consider though these are most probably the most basics.

A huge amount of market research and planning. I allowed about 1 month for my business plans, but you should also allow time for market research (2 months?) and business start up tasks (3 months). Start with your goals, what do you want to get accomplished, what are you capable of putting in. What you need to start depends a great deal upon what the specifics of your business plan is. For example something like an adwords/adsense program would need several percent of the online market to break even which is well beyond the capabilities of most of us. However consultants can manage ads with very low startup costs.

In a really technical sence all you need is: web hosting, a logo, a script ( I actually have 3 scripts for this LOL ), and a good domain.

You get all that and your setup to go. Of course, getting people to trust you is alot harder. Freekii ( http://freekii.com ) is a good example, they have been in the biz for 2 years and they still are in the battle to get people to trust them. It's really easy to make a company but 500x harder to get people to trust it and use your services.

I agree building "trust" can be difficult, also you need to make people aware that your company exists by advertising and marketing.

If you have to ask how to start one, you probably aren't ready to start one.

It not an easy stuff to start with, you need to have at least $100k to compete with reputable company such as adsense.
    Here is the step
    1.Register as biz
2.Hire a coder to code the script for you.
3.Hire a team of marketing professional to promote your site
4.Recruit beta tester to sort out the bug.
5.Finally release the registration to worldwide user

I think the biggest problem you would face is competition. If you aren't unique, you won't succeed in this market. Not only that, but a huge problem is the malicious people. Advertisers need to feel safe knowing that the traffic they are receiving is legitimate traffic. If it isn't converting, people won't use you to advertise their services. A lot of people out there try to cheat the system by purposely clicking on ads, even when they aren't interested.

It takes a pretty large and solid infrastructure to start an ad network. However, with many ad networks going bankrupt in today's economy, unless you have something compelling to offer that will guarantee better ROI's for advertisers and higher payouts for publishers, I don't think you'll stand a chance.

    Thanks for the information...
It require lot of programming and other skills which I lack at the moment... May be some time later.

I had plans to start it for Middle East/India/Pakistan region as there is no such company in this region and most of the companies prefer the traffic from USA and Europe.

if you are planning to launch in Pakistan then forget it... in Pakistan not a quality link-exchange system can work and you are planning for a good ppc company. Forget it...
