    Do any one have any idea of how to develop a customize skin of vbulliten.. will any one help me??

    make changes in CSS using AdminCP -> Style and Templates -> Main CSS
    Save changes and you are done !

    Remote customization can be quite tedious; I recommend that you download the entire standard template and do it locally. Spend some time browsing through the templates and scripts to learn how they work. Expect a whole lot of trial and error during you first attempts.
