using mod rewrite on thousands of pages - makes sense?

so i have a few thousands of product pages that are now dynamic urls with parameters.
i was thinking of using mod rewrite to make them more SE friendly. as a visitor, I would personally prefer friendly URLs to dynamic ones.
what about our favourite search engine? may such a big number of pages cause any problems to ranking?

    thanks

I have serveral sites with 1,000's of pages using mod-rewrite. I don't have any downside -- unless there's something I don't know about.....

I did this same thing for a site back in July, switched to friendly URL's -- didn't seem to have any negative impact at all, and the PR raised for deep level pages plus the # of indexed pages increased by about 12%.

    HTH and good luck

so the change shall not affect my ranking in the first phase.
shall I make 301 from the dynamic to the new URLs too?
    thanks

Yeah it will be more benificial if you also change the 301 from dynamic to static URL.
