    To carry out business in the Uk you MUST have a bricks and mortar address where documents can be served. If anyone does business with a company that are not UK based, they will not be covered by the normal legal protection of dealing with a UK business. Honestly this is getting very complicated.

    LLC is the American equivalent of a LTD com.

    what i dont quite get is, you dont need a UK ltd company to do business in the uk. why bother? (unless you are projecting £50k+ or something!)

    What happens if you make a mistake, get sued, and you have to sell everything to cover all expenses? Yeah, you're SOL.
    If you have a LLC you're only liable for what you put into the LLC in the first place. Your private belongings can't be touched (with exceptions).

    For asset protection alone I would recommend limited liability protection.

    isn't Delaware in black list so you have difficult to get merchant account etc.?
