This is probably against the t.o.s but i'll ask anyway.

    I found a way to cover up the "ads by google" and the "advertise on this site" links with a div layer, I decided not to actually implement it on my site though but if I did would I be breaking the adsense terms of service?

    I don't know if it against TOS (probably is) so better not do that, anyway you can remove the "advertise on this site" feature if you want.

    Log in to your adsense account.
    When creating a new ad, you have the option to remove this from your ad and all other ads.

    Always remember this: never but never change, redo, recode, mix, play with, etc the ad code that google gives you to place on your website.
    Easiest way there is to get banned by google!

    it's against TOS.

    One clients of my company wanna put adsense search on thier website and my project leader wanna change the code to make it look better and fix the html code. I explained him it's break the policies and he said he doesn't care (explain later he hates google)

    So, I don't care either. If the client complain it's going to be his fault.
