Hello, I would like info on starting an LLC in Michigan. What do I have to do? How do I transfer ownership of my websites and property to the LLC.
Hello, I have multiple LLC's and corporations in the State of Michigan. All you have to do is fill out the DELEG LLC Articles of Organization (Only one page) http://www.dleg.state.mi.us/bcsc/forms/corp/llc/700.pdf enclose a $50 check payable to the "State of Michigan" and mail it to: Michigan Department of Energy, Labor & Economic Growth Bureau of Commercial Services Corporation Division P.O. Box 30054 Lansing, MI 48909 The Michigan Government makes it easy to start a new business
As far as I am aware, there is really no way to "transfer ownership" unless it is titled. The only advice I can give you is to type a letter and sign it stating all of such is property of the LLC.
To transfer your websites, change that with your registrar. If you don't they won't be owned by the LLC. You can create a very simple Bill of Sale for other personal property, but it should be for adequate value. I would have it notarized so there is no doubt when it was done. Check with your accountant whether it is better to sell to the LLC or give to it to increase your basis. Also please remember that you have to get this done before any issues arise or it is too late. I would also advise getting some opening minutes and articles of organization set up.
hey its really difficult "Transfer Ownership" still you can have more idea from here.. MICHIGAN-ONLINE.COM
It's NOT "really difficult" to transfer ownership of property to your new Michigan LLC but it depends on the property. For most tangible personal property (computers, desks, chairs), a simple Bill of Sale will do. For contracts, you may need an Assignment Agreement, which often includes an acceptance or assumption of the obligations and sometimes contains the consent of the other parties to the original contract. For property that is titled (such as autos) you may need a form of bill of sale and/or assignment of title acceptable to your state's department of motor vehicles. For other specialized types of property, there may be other means of transferring title (such as a deed in the case of real estate).
