Requires a license to create a betting exchange website for financial bets in US?

    Here is some basic info: Betting exchange is a peer-to-peer gambling website acting as a broker between parties for the placement of bets.

    Let's say I want to create a site that matches two sides of party who hold opposite views in financial market(such as Dow Jones Index). And the odds are privately negotiated by both parties. The only function of my site is to provide a venue for users. Is it still considered as gambling? Does it require any casino license for operation?

    Answers should include some references, preferably with links of sources.
