    co-op = a lot of back-links = listings in search engines + PR = more weight = more links.... aka...it's a link network. The fatter you are the better.

    I read that it's possible to be penalized by Google for use of the co-op tool

    I would not think if you use the nofollow option Google would see it as a bad thing. But if you do not use NoFollow you might or might not be in trouble with Google.
