In my opinion main things must be:

    Website Off-Page seo quality
    All traffic counts

You can judge its value via these factors:domain name(inculding how has it been registered...)、content、PR value、Pageview、imcome of the webiste、daily maintenance 、the advantage
and station in special field and etc... What's more, still some website can help you to evaluate the value of your website. For example,http://www.websiteoutlook.com.You can have
a try to check it.Hope it can help you.

Potential is something a more experienced person/business will look at.

Your niche and SERPs is a major factor.
In some niches it can take years to achieve good SERPs. If your site has a lot of placements on page 2 of Google, then with some effort page 1 should be possible without all of the extra work involved to get the SERPs. (backlinks etc)

The domain name can be a major factor in a highly competitive niche and some domains sell for a large amount without a site.

Targeted traffic is a major factor as landing pages can be redesigned and optimized if they are not converting.
Good content takes some time to develop so should be a factor. Also a good design may cost quite a bit. So if the design is quality that should be considered.

Many newbs look for income. That is a good factor for someone looking to just jump in and take over. But you may be hurting yourself going by just this. A site utilizing only adsense might well do much better pushing affiliate products.

    my 2 cents
