    Is that contextual? If so I would say it is against adsense TOS.

    If its contextual then u can't add both at same webpage (Against TOS of G).

    If it's contextual, then you can't serve it on the same pages as AdSense. You could, however, serve AdSense on some pages and Important Ads on other pages - or you could employ a script which would serve AdSense on all pages one day, and then Important Ads on all pages the next, etc.
