I have to agree with you Shoemoney, I've ran this accross a tax advisor more than once, and living in pennsylvania I would have to fight each year to prevent servere taxations. Plus, I think deleware requires a domestic registrar(so that requires a yearly fee). Also, I was told as a foriegn entity, I would have to re-register each year(basicly a min-tax). So to avoid many of these problems, I registered as a domestic company. later, tom
Yes, Delaware requires you to have a contract with an registered agent that will provide you a business address. That's from $50 to $100 / month. However, you may like that the registered agent to forward your email, which is low cost, but depends on your actual location. Re-registration doesn't exist, you only need to pay an annual franchise tax ($200 for LLCs).
Thanks to Shoemoney and other webmasters for sharing their experience with all of us. But I think I have to mention that one of the tips possibly won't work. It's the following: According to what happened to some, it seems that when Google disables an AdSense account, they also disable any "associated" accounts (of family members, or same address, etc.). An example (on another forum, webmasterworld.com/forum89/3777-2-10.htm) is the case of blairsp. It's better to have nothing to hide, and to ask the AdSense team openly before doing something that you are not sure is within the Terms and Conditions or not. Especially if you are in the way to become a Premium Publisher (if you use one account). Apart from this, I think Shoemoney gives in general good and useful advice. Thank you!
I have several corporations out of Nevada and have to say that I am fairly impressed with their laws and such. Taxation is not a big issue and it's easy to find a registered agent that will cost around $99 per YEAR. Quick service is guaranteed at SmallBiz.com ... I have used them in the past and will continue to use them ... great bunch of people (think their out of Arizona). Not giving professional advice ... just an FYI. -Chris
hey shoe great post, a few general questions popped into my mind, i hope u dont mind sharing info on: whats the percentage of successful sites you start?you mentioned that u dont cash in (put adsense, paypal donation, etc) until you get 1k uniques a day, so i guess a successful site definition means just that - 1k uniques a day. what are your average $$ investments into site before you start gettin money back?
My plans for organization: Currently I own an IT Consulting company (Corporation), and I run my websites through that company including my adsense account. As my sites are now growing, I want to seperate the web business from the consulting business for protection (so as to not have all my eggs in one basket). My plan now is to create a holding company, then through the holding company create another company for the web business, and for the consulting side, I would either have the consulting company be acquired by my holding company, or I would dissolve the current consulting business and create a new LLC under the holding company. There are some good financial strategies that can be used in this type of structure.
I've done that a little bit freakrot (not for adsense) and it makes taxes a nightmare. I still haven't done last years taxes because there's so much to go through and I don't have any free time. Right now I have 5 corporations that I am a major stockholder in in a couple of different states. If I had more staff working for me it would be a lot easier, but with most of the work being churned out by one of five people it's rough. Now following shoemoney's strategy, it would definitely make sense, but my companies don't all make $10K+ a month.
In my case, all 3 companies would be LLC's, not corporations. Less paperwork! As for taxes, it's not as complicated as you think, and definitely not as complicated as corporations. Technically, I would only own the holding company. The holding company then owns the 2 operating LLC's. The profits from the 2 operating companies flow up to the holding company. If done right, there should be minimal profits to report for the operating companies. Most of the cash should funnel up to the holding company. There are different ways to manage it, but basically, the majority of the cash ends up in the holding company. Then from the holding company to me. That means, for my personal taxes, there is only one source to report.
Let's say I want to start up some sites that target high paying keywords or phrases, how would I go about researching this? And how do I get the site exposure and high traffic? By submitting it to every directory I can?
I suggest (from researching this forum and other sites) that you use mid-range paying keywords instead of high paying keywords. The high paying keywords get over-used and flooded too quickly, while mid range keywords will not be as common but still put out a decent amount of $$

in 1996 I started a site with 2 friends called macosrumors.com The original domain was rumors.netexpress.net about 1999 before the big .com crash we had advertisers begging us to take there money... The 3 of us split ways. I dabbled in the porn business for a bit and the other 2 guys stayed with macosrumors.com. I think I got the best end of the deal because porn really thrived during the .com crash where advertising went to shit. I stoped doing porn may of 2003 when I got married and shifted to what I do now =) (which i dont like to talk about much) one of my original partners from macosrumors I have work with still very closely and we have built some nice sites together. dropload.com dropcash.com are a few.
Thanks for the great post Shoe. Not long back the highrollers on this forum were looking to start and exclusive 'table'. Just think how much we would have missed out on if Shoe had spread his wisdom elsewhere. There's lots to think about in this thread for sure.
