You should keep some point in mind like: Site must be theme relevant Page rank of website should be high Page should be latest cached not more then 1 month old. Links on the page should not more than 50 out bound links.
don't link back to the same site, link to another site of theirs or vise versa. write an article for them so your link is in the content not just on a links page.
do 3 way links exchange, much better, but you should try to do one way links, buy or submit to article directories
I don't do link exchange, too. But if you'll insist, do a link exchange: with related website. with high PR website. with do-follow website.
In addition to that check the site frequently whether they are having the link permanently or not. This is the primary fact of link exchange.
only do one way link exchange. its difficult but it really increase your pr. also submit your site on high pr article directories and do forum posting, its also under link building.
