A title is basically a header. As such titles should follow the rules of proper grammar for a header; that being all words should be caps except for conjunctions and articles unless said conjunction/article is the first word.

(articles are short adjectives such as 'a', 'an' and 'the')

So the title of this thread for example would be:
"Latest Thinking on Capitalization in the Title Tag."

...or for your example the first one would be more correct as there are no conjunctions or articles in there.

Would be the most correct from a literary standpoint - which is exactly what I use.

JHVH forbid we use proper grammar.

Conjunction junction, what's your function? Hooking up words and phrases and clauses.

Yup, deathshadow is right. Capitalize everything except those small unimportant words. Otherwise its just a sentence, not a title.

And it wont stand out as well in SERP's and thus likely to get less clicks if not capitalized.

And it also looks better than all small letters. :)
