Is this placement okay?

just wanted to make sure that the placement i have on my site is okay and that it doesn't go against the tos...

yes that placement is just fine (it is actually a great place)

As along as it is separately coded from what ever that is

 

I think it fine. No violation of adsense of adsense TOS. It would be better if you put adsense search bar also.

I think you placed your ad on a very natural way... i see no problems.

 

I don't see there's anything wrong with your placement. There's a clear and defined border separating the link unit.
