Is this placement against Google Adsense TOS?

    It could be.... difficult to visualise from your diagram. The rule I always go by is if the ads are perfectly aligned with an image of the same size then that's against the rules. Your situation is slightly different because you'll only have 1 CPM banner image (I think) aligned with a skyscraper with maybe 5 or 6 AdSense ads in it. Mmmmm - not sure. Wait and see what they say!

    maybe it is legal if the cpm ads are not contextual and don't look like adsense ads.
