Is that good placement or violating tos ?

    It's ok, same font, same colors. But hey, if adsense didn't want that they wouldn't have changed the format of ads in 728x90.
    But if you're unlucky you can receive an email one day saying to modify it within 72h, but it won't happen soon.

    You have done a good job of hiding the ads but I'm not sure if Google would like it.

    I have seen similar AdSense placement on big sites too, so I think Google won't kick you for it.

    as i know from my own experience with adsense, this is against TOS ... don't make content look like ads, you could be banned very soon.

    Having just went through and survived a "You have 3 days to make changes" email from Google last month, I wouldn't feel comfortable using the placement on that site.
