USB stick have a tiny (very tiny) slide switch to prevent writing. Did you check that already?

A great way to get it to format would be to follow the instructions in this article - http://www.usbtalk.net/2009/09/recovering-broken-unformattable-and-ghost-usb-flash-drives/

It will walk you through how to completely erase the drive, which should allow you to do whatever you want once it is reformatted. Just be sure to follow the instructions fully and exact to prevent damage to your hardware
