    your location does not matter anyway, try to search google for companies that provide services on llc registration and they can consult you

    as mentioned your physical location is irrelevant. Its actually a painless process to incorporate a company. As an international resident you simply need to use an agent who does the incorpoation for you. You simply provide the company name and structure and your relevant directors and officers.

    The agent will go ahead and register everything for you and send you the corporation documents. You never even need to set foot in the U.S (if thats where you want to incorporate).

    You can run a myriad of searches on google for incorporation services.

    One service that i can recommend is www.incnow.com for USA registrations. I've used them and they are super professional.

    Well, I use www.bizfilings.com for that. There is no requirement for you to be in the US to incorporate in the US. Of course certain states are more lenient that others.

    What is the benefit of incorporating in the US if you from another country, wont you have to pay taxes twice or something? I cant really see any value in that, you would probably want to incorporate in you local contry that would make more sense.

    Hi there,

    I am from The Netherlands and also have the plan to incorporate in the US as an llc. I have read that the physical location doesn't make sense to start a llc. But like you said, what are the tax benefits? Let me see;

    1) I contact a consult company who take care for the llc. registration?
    2) I receive the legal documents of them and I have an llc in the US, right?
    3) What about bank accounts? Should I register a bank account in the US? If yes, the revenue/volume of trade will be placed in my US bank account, once in a while I pay the taxes, but like i said before I live in the Netherlands. How do I get my profit on my Dutch bank account? Wiring an x amount from US bank account to my private bank account in The Netherlands will take me into trouble with the Dutch tax people I think?

    It would be great if someone could answer my questions, my issue will be more than clear then.

    I am neither an accountant or a lawyer and am not offering official legal or tax advice.

    If you're a non-us citizen, setting up a company in Delaware, Nevada, Wyoming etc is like setting up an off-shore company. Why?

    LLC's and Subchapter S companies pay taxes on the shareholder level -it's pass through. Meaning that you would only pay the company taxes on your personal income taxes. Since you are not a US Citizen, you might not pay US Income taxes (talk to an american CPA first), but only pay income taxes in your home country. That's what makes if attractive to foreigners - you enjoy not paying corporate income tax in every country.

    Search also on google, they're plenty of good Serps and ads for "delaware corporation", substitute delaware with wyoming, nevada etc.

    I appreciate your help, but I'm disappointed to read what you've wrote "but only pay income taxes in your home country". Unfortunately I live in The Netherlands and I have to pay 52% taxes :( That's the reason I want to register a company in the US, because I thought I would'nt have to pay my home country taxes. So if this is true what you've said, then what is the benefit for a foreigner to register in the US if it has to pay home country taxes (for me The Netherlands 52%)?

    Same disclaimer as previous message.
    You could create a regular corp in the states, not have any employees, and pay only US Federal income tax, which is in the 20% I think.

    You'd probably get in trouble for using company funds to pay for personal things, unfortunately.

    I know a Portugal guy who has an LLC and just doesn't report his taxes to Portugal, but that's just tax evasion. I also know another Scandinavian who hasn't figured out yet how to take the money out of the US Company.

    This, by the way, is an issue with any off shore company - you still have to report personal income to your home country. Unless you move to Wales or something.

    Thanks Oziman! Maybe I was not telling it clear, but I don't mean to pay personal things with the company funds. I meant to pay my personal things with my monthly wage of my company. Ofcourse I will save the company funds, but my plan is to wire my monthly wage to my personal bank account which is in my home country The Netherlands. Ofcourse I can wire my monthly wage every month without reporting it to the taxes in The Netherlands, but eg. when I send every month $2500 they will ask me some day where the money comes from and then I might have a problem.

    For me you have make it very clear, Oziman. The final thing that bother me, is the same thing like your Scandinavian friend.. how to get the company funds from the US to my home country.
