for me, it is worth the Monthly revenue * x number of months, where x depends on the age of the directory, the stability of the revenue and your own plans, some people can take a website making 100 dollars per month and turn it into a 3k per month business in a few months.. IMHO content, design are not a factor. ebay, google, craiglist, dmoz are all ugly but who cares, they make billions, all what matters is the revenue.

I have spent a good part of a year on a website that is a directory/forum/social and more spent 3500 so far and i have spent money for seo work but i get nothing. every one thinks it should be free. I think i am going to buy a list insert it into my directory and then promote it and send out an email to the companies and have them claim their listing. them after a total of 6,000 dollars i might get sales

To be honest, revenue what most website buyers look at! For directories, there are some other factors that I'd look into if I had to buy one :) : niche, traffic source, backlinks, indexed pages...as far as the programming goes, I believe if it's based on a paid script, there's always ways to modify/customize it...

Also, sites listed in the directory and its editorial standards would be something I'd look at as well; amount of reediting listings and/or removal to be done etc...

Last but not the least...I do care for the domain name when it comes to directories in particular. It doesnt have anything to do with SERP but a directory/index/repository related domain name would certainly help the site be "remembered". thereby increasing type-in traffic.
