Hi all, I have a business partner for some online ventures, since we've been working together we've put online a number of sites, and are already generating enough cash to warrant us turning it into a serious business. There is a slight issue though.. He's employed full-time by an online marketing/development agency. This in itself wouldn't be a massive issue, except for the contract they want him to sign (He's just moved to this company and has a few weeks left before it needs to be signed). The contract basically says... 1) Any software he develops or has developed for him outside of work, automatically becomes the property of the company he works for 2) Any marketing plans he uses at work, cannot be used by him outside of work (They'll own all his intellectual property rights) - this is a issue because he's an online marketing consultant... It wont be possible to distinguish which ideas, tactics were specifically gained at work and which are his own. 3) He's not allowed to run a business outside of work. 4) He's not allowed to compete with any of the clients maintained by the company he works for. They are the main issues he has: 1 is most likely the biggest problem because he and I are constantly in talks about new scripts we need to develop in order to automate our work and generally make it a lot easier to just 'get on with things'. 2 again is the same issue - If he suggests a marketing plan for a client, and uses something similiar on our sites, we'll get screwed. In actual fact, he's more likely to suggest a plan he's using on one of our sites for use on a client site - so how does that work ? 3 This one can be solved by him working as a contractor rather that working full-time, which is an option, but not a preferable one. 4 This shouldn't be an issue, but if we are running a site in a particular market, and the company suddenly finds itself having to compete with it because of a new client - what can we do then ?
