Hey i'm thinking to get a LLC for using it with payment processor, Publisher Account etc. So basically it won't be a state based Business only web based. but a LLC requires to open the Business name has to be registered in a state. So which state is best for this and tax flexible.
Nevada, or Delaware... however as its a LLC, or even a sub class C corp its set as pass threw status, and thus you would pay tax for the state that you live in anyways, so otherwise I would do it in our own state to reduce long term problems with legal stuff I have run into due to being LLC's and Inc's in Nevada or other states. Ps. Have an attorney or CPA set it up for you, the online stuff can leave you unprotected if you fail to file some of the stuff they dont tell you about at them places.
Most places probably don't require an LLC and a DBA would be fine. Most places just want to ensure you have a Sales Tax ID and to get one a DBA would probably much less expensive. Granted, i'm no pro in the area, but I have looked into a bit before. Before actually listening to me, you might ask those places you are wanting to work with what is required. Perhaps you already have and i'm just speaking about something I know nothing about.
With LLCs you can decide to be taxed as a corporate entity, it depends on your situation is whether it's worth going one way or the other. State filing fees vary considerably from state to state. If you do business in any state you'll need a business license from that state. You'll also prob need a representative agent in the state where you incorporate. In what state do you live? That's what I think is correct, but I'm no cpa or lawyer.
hmm..i Live in NY. I want to use it for processing payments like setting the account on paypal or any other merchant accounts. I'm wanting LLC to protect my personal assets if any reason the company gets sued or anything. I think in DBA it will straight come to the personal Property etc.
just go to the NY secretary of state website and register online there. I agree with the dude above you may have legal headaches in the future if you register in an outside state.
I researched that same subject and it turned out it was best to register in my own state (California). The state may make a difference though. Do careful research before you decide. donrock
For small businesses I do believe that it makes sense to register in the state where you live. But check thoroughly implications as far as taxes. In states such as California there's a minimum tax if I'm not mistaken. Yes, a DBA would offer no personal asset protection, nor would an LLC if the directors/managers would commit fraud and similar crimes.
I agree with everything the others have written and you can also check out bizfilings.com as well. Check with your state and/or a CPA. If you use an AMEX with Biz Filings, you save I think 20-25% on the fee. We are LLC'd through Delaware and yes pay taxes to both the state I live in as well as Delaware.
The main reason people file their LLC's in other states is the protection that particular state gives them with regard to the companies liability and its assets. If you do not have an inordinant amount of assets, i.e. servers, phones, cubicles, stuff, etc. then you are probably very safe to file it in your own state. I myself looked into this last year when I started my own company and after all was said and done there was no benefit to me filing in another state rather than my own.
We did the Nevada LLC deal years ago, then later of switched to our home state as it was just better. Now of days we use a sub class S corp, and each site goes into its own LLC. That way we have somewhat of a shell for each site, so we can sell them easy, and protect the main company, as well as ourself or the sites from each others legal problems. Watch out for BizFillings, they dont always file all the paperwork, or tell you that you have to file other paperwork and you end up losing your LLC/Inc status. We only found out when we called NV something like 3-5 months after we had them file for us, and learned that we needed 3 other things, and because we had not done that we had to get them in asap or lose the LLC we had just paid them to file for us. Since that time we have quit using them and only use our local attorney.

Could someone confirm the below: - we will register LLC in Nevada or Delaware - Business will be in California so we shuld get a EIN and DBA in CA - right ? - what is "registered agent", if I am in CA and LLC is Nevada - could I give CA address for "registered agent" - Do I need an address in Nevada to register LLC in Nevada, does the address need be a physical or PO Box works. thanks in advance
