The only real "issue" is that if the site that you're duplicating is already ranked (and it's pages are also ranked), you are not going to get much traffic from Google. The other issue is that if the site you're duplicating is not your own, you're stealing and violating international copyright laws. Though that doesn't seem to stop some of the idiots online these days.
