Hi, A few days ago to buy a company in USA through incorp(dot)com. Well, they sent me a mail with a document stamped by the government of Ohio saying that my company is already open. The fact is that I do not trust because it is not my name anywhere and if the company does not belong to me 100%. How can I see the internal records of the company?
My understanding is that if you are not located in Ohio then you are required to have a registered agent in Ohio. incorp.com is acting as your registered agent. Looking at the Ohio form (pdf below) for a foreign LLC I see no place for your name but only a place for the registered agent name. http://www.sos.state.oh.us/SOS/Upload/business/forms/533b.pdf http://www.sos.state.oh.us/sos/upload/business/filingformsfeeschedule.aspx?page=251#forLim
Do you know your company's name? If yes, you can search for the official records here: http://www2.sos.state.oh.us/portal/page?_pageid=35,58664,35_58678&_dad=portal&_schema=PORTAL Why did you incorporate out of state anyway?
Also find out how much taxes and other formalities work out. things look real good but taxes can burn you
You don't want to incorporate in another state. If you do, you still need to register as a foreign corporation in your own, home state. Note: The rules are different if you're Microsoft. But for the little guy, you want to incorporate in the state where you operate.
