Do you link exchange in this situation?

    I am talking with someone who offer me to give a PR8 link and i will give him a footer place sitewide on my PR6 site.

    Normally i think this is a great offer, i should accept this. But since i am not experienced in SEO i dont know what to do because of some possible problems.

    Let me know what you think. Should i echange the link?

    Here are some of the facts related ot exchange and site:

    1. The site is 10 years old and i think this is why that site is PR8. Because seomoz pagestrength of the site is 5.5 and mine is 6.

    2. I have ~8000 pages indexed, the other side do not have more than 200 pages and all has PR0 except the homepage.

    3. My site is my main site and i dont want to risk it in any way!

    4. My link on the other site will be static but his link on my side will be generated by a php script. With the help of that script he will change the url o the link at ever reload! In fact this is the main problem, what will google think in this case? Can google give me a penalty for this?

    Another problem with his dynamically generated urls is that they look too spammy. They look sth like this:

    mysweethotel.com/AdiR/anotherDir/travel.html

    In there "Adir" and "anotherDir" are meaningless and looks like case of the letters are generated randomly. And these pages are PR0 and i dont see any real use case of them!

    Is this a black hat method... ? What are advatages of having such randomly generated deep urls on high PRed sites?

    Do you exchange link in this situation?
