data/idea secret contract

    Hi,

    I am wondering what is the really name for date secret contract. I have an idea and concept of website and I am going to outsource website design. The only thing I need to contract is idea protection. Anybody has any similar contract or just know what is proper name for that contract?

    Get an NDA (Non-disclosure Agreement). Web developers sign plenty of these when they are working on something secretive.

    You can also add non-competition clauses to them so the person who signs it can not compete or start a similar business within X amount of time.

    Many times they are only 1 or 2 pages only.

    thank you! How is about signing? I just send to my designer by e-mail NDA, he sign and send me by post? Has NDA any velue if it is send by fax?

    I have scanned them and emailed. Also did faxing. Should work both ways as long as the signature is there.

    And if you and the other party are in opposite sides of the globe, enforcing all
    and any terms of your potential agreement with them can pose quite a lot of
    serious challenges. Just something you might want to think some more if this
    applies to you.

    In the U.S. a faxed/scanned & emailed agreement is legally binding. That may or may not be the case in other places.

    Also, consider that a NDA doesn't necessarily protect them from competing with you directly.
