Content Rich Vs Simple/Call for action Opt-in pages: which one works better?

Fact: Most of the time Simple/call for action opt in pages convert better...at least for me.

    But, when getting into PPC...

Are they being strongly penalized by Google? Are there ways of preventing being penalized with Google with this style of opt-in pages?(maybe linking, creating site maps? Or, do we really need to create content for this pages...?

Add a sitemap, privacy policy, terms and conditions, contact us, maybe some more content.

Give your opt in page some decent keyword rich content. Bonuses of signing up, sample of a report etc. Don't let the HTML outweigh the code :)

Make sure you have links to other content but the links don't need to be "in your face"

Keep the call to action big and obvious.

The actual content needs to have the appropriate keywords.

Remember that Google runs an automated algorithm first on your landing pages so if it passes the sniff test with that they won't manually review your site which is more of a subjective process.

Here is a good example I found. www.lifestyledebitcards com
