Well first of all will they be interested in going for the .in domain ??
How good is this restaurant in the sense in earnings ?? is this like a big restaurant there ??
Start with a high amount they will bring the price down mostly thats if they are interested

If they are a registered business, and they have trademarked the name HotChips or Hot Chips before you registered it, then they have the right to file with ICANN for trademark infringement and have the domain seized from you.

Best bet IMO is to work out a deal for free food or something for the domain name, or give it to them for free and hope for the best.
