I think thats OK, that part of the TOS seems to deal more with sending out unsolicited mails which a directory confirmation wouldn't be.
Are you guys talking about e-mailing people? How's that even allowed? Don't you have to have a opt-in list (meaning they previously bought from you, and said they wanna be on a e-mail list) ?
or it could be a newsletter they sign up for, etc. in this case, he is talking about emailing someone to say that their listing was approved for a directory, so it's not unsolicited - which is where the line is drawn.

Yes i only send out emails if a user subscribes to a category of my directory then every time a link is added they get an email, or when a link is accepted or declined, in the latter case it's just the one email & the only other time they get emails is when i decided members should beaware of something which i have not done since i opened ... Everyone hates spam

It seems everybody is going to do that, but it actually makes sense. I saw COOP links in atleast 2-3 directory confirmation emails. Now, I am motivated to do this in my directories as well.
