Hi there folks, Im looking for a dedicated server based in USA or Canada I only need shell access. RAM and CPU is a must here. So i d'ont mind about the bandwidth a lot and disk space. My budget is only 50$ per month for now. Please pm me spec.

Check out CoreNetworks, http://corenetworks.net/dedicated/ they have dedicated boxes for as low as $30/month. The setup fee will probably be about $100 though. edit: I'm no way involved with CoreNetworks.
I already have VPS, but i cannot modify kernel on VPS as i need. That's why i need Dedicated now No thank for setup fee.

How would a VPS differ from a dedicated server as far as your kernel needs go? Both solutions you can modify the kernel.
just FYI - custom kernel is not possible with some Virtualization solution such as OpenVZ/Virtouzzo... but with Xen it is possible, some make sure one will get a Xen VPS if they want to have their own kernel independent that of host server.
