One-way is the best method...then 3-way.

If you are interested in link exchange then do link exchange with websites having PR more than your website and must not be the link farms.

 

Of course, one way link is the best but three way link can still be good technique since the links can be considered as one way link.

 

From best to worst:

#1.) One Way
#2.) Three Way
#3.) Reciprocal Two Way

Reciprocal two way links are worse because Google can tell that two websites are linking to each other just for the purpose of "gaming" the search engines. Its the whole "you-vote-for-me-I-vote-for-you" and than we both win phenomenon. Thats not to say that two way reciprocal linking can't help your rankings. Just don't get too excessive with reciprocal links and make sure to vary your campaign so it looks natural to the search engines. Overall one way links are best followed by 3-way links (which are, in some respects, a form of one way links in and of themselves). After all, if someone votes (links) for you without you having to vote for them it sends a signal to Google that says, "Hey, I like this website and I'm voting for it not because they voted for me, but because I actually think that website is useful!". These are the exact types of websites Google wants to rank high, because they are useful to their visitors and they help the search engine giant sustain and/or increase search engine market share.

i mean a directory which have gud PR and one has no PR or 0

I think one way links are valued because it looks natural like a user is interested in your website. Thats what search engines are looking for.
