I suggest, take her to her favourite restaurant...Gift her a ring, have some background music....some flowers..make it as romantic as you can - so that she HAS TO say yes.
if you want to propose for a girl. do it with your heart and not for what's in your mind. believe me, you cant do what's on your mind becoz of nervous. Just leave it to your heart the action.
Yeah, the best way to propose is to keep it spontaneous. Planning things will only make you nervous and most of the time you'll only be thinking whether you're doing what you planned to do or not.
I can tell you what not to do - ask her infront of too many people you both don't know. I think that makes a girl uncomfortable.
If BOTH are in love with each other, then you never would have doubts or hesitate. if you hesitate as you do HERE then it absolutely is WRONG girl or one or both of you unprepared/lack maturity to FULLY and truly love each other as needed for a happy life "until death you separate". true love requires proper maturity and preparation in BOTH potential partners it also requires a solid life for BOTH - i.e. FREE of any mortgage or credit, solid job, experience in life and in solving problems, free from parental guidance for a few years. to be pretty is no reason to marry to be loving toward all is a potential reason but just ONE out of hundreds of factors that make up a love-partner for life.
Dude, its really easy. If you know she is the person you want to marry, no matter what you do, she will be over the moon about it and say yes, and cry, and give you hugs and kisses and all that stuff. If your lucky as me, sex later on too. What I did when I proposed to Crystal was; I took her to the place where we had our first date (its at the steps in front of a place we hang out often) I then pretended I dropped something ($1) and went to pick it up, but I stayed on one knee and told her how I felt and if she would marry me. Of course, it all went so well, but the SURPRISE is the best part. I reckon, you should just like take her somewhere that has meaning to you both, and try and surprise her with it. Also, if you want to marry her because your getting a lot of sex and she is pretty, don't. The sex dies down dude...

She is going to want a beautiful story to tell her friends, not some cliched bullshit you stole from a bad movie.
