    I want to open a new website that can convert youtube videos to mp3 and users to download it.
    Legit? Or i can be sued?

    It is indeed legal but they patched some methods (e.g. the one using Youtube's API). Check out youtube-mp3.org . The guys Adsense account was recently banned for his service but he can't be sued that is for sure.

    It is legal and you don't have to worry mate :)
