They are illegal, but they are generally opperated by young webmasters who have decided that the risk of getting into trouble is worth the social value of running the site. Another thing is that the bar of entry for these sites is very low. Any type of site that requires no content creation is popular among noobs; flash games, TV and movie piracy, directories, wallpaper, etc... There is generally very little upside to these kind of sites though.
legality of roms can be doubted , but god i love them , this biggest rom site is around from late 90's and still here, since roms are basically old games. the legality of it will depend on where you live and where your hosting is, for example in spain it totally legit to to share files IF not making any profit from it. some court decisions lately in e.u have gone in favor of file sharing if not done for profit again i point out. to get a better view look up your countries laws regarding the same and check the hostings TOS very carefully. file sharing has been here since and before Internet and remain here till end of days unlike what ppl may think .
