Well as far as i know, cPanel itself takes more than 256MB RAM, so you might think to increase your requirement? Also, how much are you looking at?
bentink, how much RAM my VPS would need if it uses cPanel as control panel. I know the monthly license fee of cPanel ($15); so my budget is around 30$.
Well it depends on your needs. For normal sites, i recommend you 768MB+ RAM for using cPanel. And the datacenter from which you take it may charge $25 - $35 for cPanel (it depends).

Again I'm saying this, doo something legal and actually by the damn script. People worked hard on the scripts you steal from them.
